Mosavi Terms of Use

Please read these Terms of Use carefully before accessing or using Mosavi ("Mosavi," "we," "our," or the "Service").

Mosavi Co., Ltd. is a company duly incorporated and existing under the laws of Japan, with its registered office in Japan. These Terms of Use, together with the Privacy Policy, Data Protection Policy, Risk Warning and Disclaimer, and any applicable Individual Conditions of Use, constitute the entire agreement between you ("you" or "User") and Mosavi Co., Ltd.. If you do not agree to all of these Terms, you must not use the Service.

Language Notice: The Service is available in multiple languages. In the event of any inconsistency or conflict, the English version shall prevail.

Legal Advice: If you are unsure about any provision of these Terms, you should consult a qualified attorney before using the Service.

1. Definitions

1.1 Account: A registered user account created to access the Service.

1.2 Client: An account that has been registered with Mosavi in accordance with applicable laws and internal compliance procedures.

1.3 Content: Any user-generated materials, including but not limited to text, images, audio, video, and other data.

1.4 Subject Content: Any content, software, documentation, or data provided by Mosavi for your use in connection with the Service.

1.5 Submission: The act of uploading, posting, transmitting, or otherwise making Content available through the Service.

1.6 Submitted Content: Any Content that you have submitted, uploaded, or otherwise made available via the Service.

1.7 Charges: Any applicable fees, costs, or rates payable by you for the use of paid features or services within the Service.

1.8 Subscription Services: Features, functionalities, or Content made available upon payment of a recurring subscription fee.

1.9 Custody Partner: A third-party digital asset wallet provider, independent of Mosavi, that provides digital asset wallet services directly to users.

1.10 Force Majeure Event: Any event beyond the reasonable control of Mosavi that prevents or delays the performance of its obligations under these Terms, including but not limited to natural disasters, war, governmental actions, or failures of telecommunications or blockchain networks.

1.11 Feedback: Any suggestions, comments, or ideas you submit regarding the improvement, enhancement, or functionality of the Service.

1.12 Privacy Policy: Mosavi’s policy outlining how personal data is collected, used, disclosed, and protected.

1.13 You/"User": Any individual or entity that accesses or uses the Service, whether registered or unregistered.

2. Scope & Acceptance

2.1 Acceptance by Use: By creating an account, clicking “I Agree,” or accessing or using any part of the Service, you agree to be bound by these Terms.

2.2 Age & Capacity: You must be at least 18 years old and have the legal capacity to enter into a binding agreement. Use of the Service by minors is strictly prohibited.

2.3 Compliance: The Service is available globally, except where prohibited by applicable laws, sanctions, or export control regulations. You are solely responsible for ensuring your compliance with all such legal requirements.

3. Changes to Terms

3.1 We reserve the right to modify these Terms at any time, at our sole discretion.

3.2 Material changes: For material changes, we will provide at least 30 days’ advance notice through the Service (e.g., in-app notification or email).

3.3 Immaterial changes: Immaterial changes will take effect immediately upon notice.

3.4 Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.

4. Registration & Account Management

4.0 Purpose of Registration: You represent and warrant that you are registering for lawful and legitimate purposes only, and not for the purpose of engaging in money laundering, fraud, sanctions evasion, terrorist financing, or any other illicit or prohibited activity.

4.1 Registration Tiers & Requirements:

Users may access different features of the Service depending on their registration level:

           Content & Social Features Only: You may access core social features (such as end-to-end encrypted messaging, group chats, and feeds) anonymously, without providing an email address or phone number, by registering with a private key only.

           Financial Features (Wallet, Transfers, Red Packets): Financial services in Mosavi the APP, including but not limited to wallet functionality, digital asset deposits and withdrawals, and gifting (e.g., Red Packets), are provided exclusively by an independent Custody Partner. Mosavi does not directly provide, control, or assume any responsibility or liability for such financial services.

To access these features through the Mosavi platform, you may need to provide the required identity verification, document approval, and eligibility assessment in accordance with the requirements and procedures of the Custody Partner. The specific requirements and procedures shall be subject to the Custody Partner.

All identity verification, document approval, and eligibility assessments are subject to the sole discretion and final determination of the Custody Partner. If you fail to complete the required registration, authentication, or verification steps as required by the Custody Partner, you will not be permitted to access or use the financial features through Mosavi.

Upon your first attempt to access any financial feature (including wallet services), you will be redirected to the Custody Partner’s official interface or webpage. You must follow the instructions provided there to complete any required registration, consent to relevant terms, and provide necessary authentication.

The Custody Partner is solely responsible for the review and verification of KYC documents. Mosavi does not control or guarantee the timing or outcome of any verification. You will be notified by the Custody Partner (via their designated channels) once your application is approved or if further action is required.

If identity verification fails or documents expire, Mosavi may request updated information, suspend related services, or freeze your Account until compliance is restored.

4.2 User Undertakings: Upon registration, you agree and undertake that:

           All information and documents you provide are true, accurate, and up-to-date.

           All assets used in transactions are lawfully acquired and solely owned by you.

           You will comply with all applicable laws, regulations, anti-money laundering(AML) requirements, and Mosavis Code of Conduct.

           You are solely responsible for any profits, losses, or tax liabilities arising from your use of the Service.

           You will not post, upload, or transmit any unlawful, infringing, harmful, or unsolicited content.

4.3 Account Deletion: You may delete your Account at any time. Deletion is irreversible and will result in the removal of all Submitted Content, except where retention is required by applicable law.

4.4 Non-transferability: Accounts are personal and non-transferable. You may not assign, sell, gift, or transfer your Account to any other person, nor may Accounts be inherited.

5. User Review & Representations

5.1 Verification and Screening: To access any financial features, all users must complete verification in accordance with the applicable compliance standards and procedures established by the Custody Partner. The Custody Partner may conduct identity verification and anti-money laundering screening on users. Mosavi neither performs nor determines the outcome of identity verification, nor does it carry out independent AML/CFT screening. However, Mosavi will assist by providing access channels and technical integration to ensure compliance. The Custody Partner may, in accordance with its AML/CFT policies, monitor, suspend, or restrict accounts or transactions.

5.2 Sanctions Compliance: You represent and warrant that you are not subject to any economic or trade sanctions administered or enforced by any competent authority, including but not limited to the United Nations, the European Union, the U.S. Office of Foreign Assets Control (OFAC), or the Financial Action Task Force (FATF). You further agree not to use the Service in connection with any individuals, entities, or jurisdictions subject to such sanctions. Mosavi and the Custody Partner each reserve the right to refuse, suspend, or terminate access to the Service in response to actual or suspected sanctions violations.

6. Service Features & Product Rules

6.1 Social Features & Privacy:

a. The Service supports end-to-end encrypted messaging for both one-on-one and group chats.

b. Users may register anonymously using a private key, without the need to provide an email address, phone number, or personal identification.

c. User profiles may include optional display names and avatars; by default, no personal data is publicly exposed.

6.2 Audio & Video Calls:

a. High-quality voice and video calls are available within private or group chat environments.

b. Calls are encrypted end-to-end and, where technically feasible, are routed peer-to-peer to enhance privacy and performance.

6.3 Group Chats & Communities:

a. Users may create and manage private or public chat groups for social, professional, or community purposes.

b. Group administrators and moderators may assign roles, approve or remove members, and moderate content in accordance with these Terms.

6.4 InApp Wallet & Red Packets:

a. The Service may integrate an optional digital asset wallet feature, provided exclusively by a third-party Custody Partner. Mosavi does not hold, control, or process any digital assets directly.

b. Peer-to-peer transfers and gifting via “Red Packets” are available, including options for blind draws or scheduled distribution to individuals or groups.

c. Only supported digital assets may be used for deposits and withdrawals; fiat currency (legal tender) is not supported, and no on-ramp/off-ramp services are provided by Mosavi.

d. Access to these features is subject to successful identity verification and compliance checks conducted solely by the Custody Partner.

6.5 Content & Usage Rules:

You agree not to engage in any of the following activities:

a. Sending spam, flooding channels, or distributing unsolicited bulk messages.

b. Posting or transmitting content that is harassing, defamatory, hateful, obscene, illegal, or otherwise harmful.

c. Using bots, scripts, or automated tools to access the Service, except through officially authorized APIs.

d. Uploading malware, exploits, or engaging in denial-of-service (DoS) or similar attacks.

Content Ownership: You retain all ownership rights in the content you create or submit. However, by using the Service, you grant Mosavi a worldwide, non-exclusive, royalty-free license to store, process, and transmit your content solely as necessary to operate and provide the Service.

6.6 Platform Rights & Maintenance:

a. Content Moderation: Mosavi reserves the right to remove, block, or restrict access to any content that violates these Terms or applicable law, without prior notice.

b. System Maintenance: Mosavi may temporarily suspend access to certain Service features due to maintenance, security concerns, or technical emergencies. Where possible, advance notice will be provided.

c. Error Corrections & Abuse Response: In the event of technical errors, service abuse, or abnormal activity, Mosavi may take corrective action including rollback of transactions, feature restriction, or temporary account limitations.

6.7 No Editorial Responsibility:

Mosavi does not pre-screen or actively monitor user-generated content. While moderation tools may be applied reactively or through automated means, Mosavi does not assume editorial responsibility for user content unless required by applicable law.

7. Fees & Payments

7.1 All applicable fees will be clearly disclosed in-app. You are solely responsible for reviewing and accepting all applicable fees.

7.2 Unless otherwise required by applicable law, all payments, charges, and fees incurred in connection with the Content & Social Features are non-refundable and non-reversible. Furthermore, all payments, charges, and fees relating to the Financial Features are processed exclusively by the Custody Partner. Mosavi does not participate in, and shall bear no responsibility for, any aspect of the payment processing, charging, or fee collection activities conducted by the Custody Partner.

7.3 Financial transactions (including wallet operations, deposits, and withdrawals) may involve fees set and collected directly by the Custody Partner or external blockchain networks. Mosavi does not control, retain, or guarantee the amount or refundability of such third-party charges.

7.4 You are solely responsible for determining and fulfilling any tax obligations that may arise in connection with your use of the Service, including reporting and payment of any applicable income, capital gains, or transaction-based taxes.

8. Intellectual Property & Feedback

8.1 Mosavi Intellectual Property:

All trademarks, logos, service marks, software, documentation, and other materials made available through the Service (collectively, “Mosavi IP”) are the exclusive property of Mosavi or its licensors. You are granted a limited, non-exclusive, revocable license to access and use the Service in accordance with these Terms. No other rights or licenses are granted, either express or implied.

8.2 User Content License:

You retain ownership of all content, data, and materials you submit through the Service (“Submitted Content”). By doing so, you grant Mosavi a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and distribute your Submitted Content solely for the purpose of operating and improving the Service.

8.3 Feedback License:

By submitting any Feedback, you grant Mosavi a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to use, modify, and incorporate such Feedback into any current or future products or services, with no obligation to compensate or acknowledge you.

8.4 Proprietary Notices:

You may not remove, modify, or obscure any copyright, trademark, or other proprietary rights notices appearing in or on the Service or any related materials.

9. Confidentiality

9.1 Definition of Confidential Information:

“Confidential Information” means any non-public, proprietary, business, technical, financial, operational, or other information disclosed by Mosavi to you, whether in oral, written, visual, or electronic form, that a reasonable person would understand to be confidential under the circumstances.

9.2 User Obligations:

You agree to keep all Confidential Information strictly confidential and not to disclose, use, or make such information available to any third party, except with Mosavi’s prior written consent or as required by applicable law. In the event disclosure is legally required, you agree to provide Mosavi with prompt notice (to the extent legally permitted) prior to any such disclosure.

9.3 Exclusions:

The obligations in this Section do not apply to information that:

a) is or becomes publicly available through no fault of your own;

b) was lawfully in your possession before disclosure;

c) is lawfully received from a third party without breach of confidentiality obligations; or

d) is independently developed by you without reference to the Confidential Information.

10. Prohibited Activities

You agree not to engage in, encourage, or facilitate any of the following prohibited activities while using the Service. Mosavi reserves the right to investigate, suspend, restrict, or terminate your access to the Service, and to report relevant activity to law enforcement or regulatory authorities, if any such conduct is detected or suspected:

a. Violating any applicable law, regulation, sanction regime, or export control restrictions, including but not limited to laws relating to anti-money laundering (AML), counter-terrorist financing (CFT), financial sanctions, or data protection;

b. Engaging in or facilitating fraud, money laundering, terrorist financing, market manipulation, or any other unlawful, deceptive, or illicit activity;

c. Impersonating any individual, entity, or affiliation, or otherwise misrepresenting your identity, authority, or credentials;

d. Transmitting or distributing malware, spyware, viruses, phishing content, spam, or any harmful or unsolicited communication;

e. Reverse-engineering, decompiling, disassembling, tampering with, probing, or otherwise attempting to gain unauthorized access to the Service, its infrastructure, or associated networks;

f. Scraping, crawling, harvesting, or otherwise collecting user data or content through automated means, except as expressly permitted via official APIs and documentation;

g. Using the Service in association with or on behalf of organized crime groups, anti-social forces, or entities subject to national or international designations;

h. Harassing, stalking, threatening, defaming, doxxing, or otherwise infringing upon the rights, reputation, or safety of others;

i. Accessing, using, or attempting to use another user’s Account, wallet, private key, or authentication credentials without explicit authorization;

j. Uploading, promoting, or distributing digital assets, tokens, or schemes that are fraudulent, unregistered, misleading, or part of illegal fundraising, pyramid, or Ponzi schemes;

k. Infringing the intellectual property, privacy, publicity, or other rights of any third party, including unauthorized use of copyrighted content, trademarks, or proprietary data;

l. Using the Service for unauthorized commercial purposes, including unsolicited advertising, promotions, or affiliate marketing campaigns not approved by Mosavi;

m. Violating cross-border compliance obligations, such as unauthorized international fund transfers, foreign exchange violations, or restricted cross-border data transmissions.

Mosavi reserves the right to monitor, investigate, or take technical or legal action in response to any prohibited activity, including but not limited to suspending Accounts, freezing assets (where applicable through the Custody Partner), disabling access, or reporting to competent authorities. Violations of these rules may result in civil or criminal liability under applicable law.

11. Content Backup & Moderation

11.1 You are solely responsible for backing up and preserving copies of any data or content you submit, store, or transmit through the Service. Mosavi has no obligation to retain, restore, or recover any user data, except as may be required by applicable law or legal process.

11.2 Mosavi reserves the right, but has no obligation, to monitor, review, filter, restrict, or remove any content that violates these Terms, applicable laws, or third-party rights, at any time and without prior notice.

11.3 Mosavi may access or inspect user-submitted content or metadata, to the extent reasonably necessary, in order to investigate suspected violations, ensure compliance with these Terms, or respond to lawful requests from competent authorities.

12. Disclaimers & Warranties

12.1 The Service is provided on an “as is” and “as available” basis. Your use of the Service is at your sole risk.

12.2 To the fullest extent permitted by applicable law, Mosavi disclaims all warranties, representations, and conditions, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, security, non-infringement, and uninterrupted or error-free availability.

12.3 Mosavi makes no guarantee that the Service is free from viruses, malware, or other harmful components, or that data transmissions will be secure or protected against unauthorized access.

12.4 All financial features presented or accessible within the Mosavi App—including but not limited to wallet services, digital asset transfers, deposits, withdrawals, and gifting functionalities—are provided exclusively by an independent third-party Custody Partner. Mosavi does not operate, manage, control, or hold custody of any digital assets, nor does it provide financial, investment, or custodial services of any kind. Any interactions you have with such financial features are subject to the Custody Partner’s own terms, conditions, and compliance procedures. Mosavi bears no responsibility or liability whatsoever for the operation, performance, availability, security, legality, or outcome of such services. Mosavi does not provide any personalized financial, investment, or legal advice, and no part of the Service should be interpreted as such.

13. Limitation & Exemption of Liability

13.1 To the fullest extent permitted by applicable law, Mosavi’s total aggregate liability for any direct damages arising out of or in connection with your use of the Service shall not exceed the greater of (i) the equivalent of 100 USD, or (ii) the total amount of Charges actually paid by you to Mosavi for use of the Service in the twelve (12) months preceding the event giving rise to the claim.

13.2 Under no circumstances shall Mosavi, its affiliates, directors, officers, employees, or agents be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages, whether foreseeable or unforeseeable, including but not limited to:

a. loss of income or profits;
b. loss of business or commercial opportunities;
c. loss or corruption of data or digital content;
d. loss of goodwill, reputation, or user trust;
e. costs of substitute goods or replacement services;
f. damage caused by third-party content, links, or malware/virus;
g. losses related to digital asset price volatility, market fluctuations, or trading risks.

13.3 Mosavi shall not be held liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, utility failures, telecommunications or internet disruptions, cyberattacks, public health emergencies, regulatory restrictions, or other force majeure events. In such events, Mosavi shall use commercially reasonable efforts to mitigate the impact on affected users, where practicable.

14. Indemnification

You agree to indemnify, defend, and hold harmless Mosavi, its affiliates, and their respective officers, directors, employees, agents, and partners from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and legal expenses) arising out of or in connection with:

a. your breach of these Terms;
b. your violation of any applicable law or regulation; or
c. your infringement of any third-party rights, including but not limited to intellectual property, privacy, or data protection rights.

Mosavi reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Mosavi in defending such claims.

15. Termination of Service

15.1 Mosavi reserves the right to suspend or terminate your Account or access to the Service at any time, with or without cause, and with or without prior notice where feasible. Grounds for termination may include, but are not limited to, violation of these Terms, suspected unlawful activity, failure to complete required verifications, or compliance with regulatory obligations.

15.2 Upon termination of your access to the Service, all rights and licenses granted to you under these Terms shall immediately cease. Mosavi may delete, anonymize, or retain your content or data in accordance with applicable laws and its internal data retention policies.

15.3 Termination does not relieve you of any payment obligations or liabilities incurred prior to termination, nor does it limit Mosavi’s right to pursue any remedies available under applicable law for breaches of these Terms.

16. Governing Law & Dispute Resolution

16.1 These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of laws principles.

16.2 Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Service shall be subject to the exclusive jurisdiction of a court of competent jurisdiction in Japan, unless otherwise required by applicable mandatory consumer protection laws.

17. Export Control

You agree to comply with all applicable export, re-export, import, and transfer control laws and regulations, including those administered by the United Nations, the U.S. Department of Commerce, the U.S. Department of the Treasury (including OFAC), the European Union, and any other relevant governmental authority.

You shall not, directly or indirectly, use, export, re-export, transfer, or otherwise make available the Service or any related technology, software, or data in violation of any applicable sanctions or trade restrictions, nor will you cause or facilitate any such violation.

18. Assignment

18.1 You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms or your Account without the prior written consent of Mosavi. Any attempted assignment in violation of this clause shall be null and void.

18.2 Mosavi may assign or transfer these Terms, in whole or in part, to any of its affiliates, subsidiaries, or successors in interest, including in connection with a merger, acquisition, corporate reorganization, or sale of assets, with reasonable notice to you.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

20. No Agency

Nothing in these Terms shall be construed to create or imply any agency, partnership, joint venture, employment, or fiduciary relationship between you and Mosavi. You acknowledge that you are using the Service as an independent party.

21. Waiver

No failure or delay by Mosavi in exercising any right, power, or remedy under these Terms shall constitute a waiver of such right, power, or remedy. Any waiver must be in writing and signed by an authorized representative of Mosavi.

22. Entire Agreement

These Terms, together with the Privacy Policy, Data Protection Policy, Risk Warning and Disclaimer, and any Individual Conditions of Use applicable to specific features, constitute the entire agreement between you and Mosavi with respect to the Service, and supersede all prior or contemporaneous communications, understandings, or agreements, whether written or oral.

23. Survival

The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

24. Language and Interpretation

These Terms may be made available in multiple languages for user convenience. In the event of any discrepancy or conflict, the English version shall prevail. Headings are for convenience only and shall not affect the interpretation of any provision.
